Internal investigations not only are crucial to helping clients maintain corporate integrity, identify areas of weakness, and demonstrate dedication to compliance, but they often are necessary to blunt the impact of government criminal, regulatory, and legislative oversight investigations. With more than 20 attorneys, many of whom are former prosecutors and regulators, Dickstein Shapiro’s corporate investigations team routinely conducts inquiries in bet-the-company matters, as well as in more routine situations warranting independent inquiry. The firm recognizes that these matters require a high degree of discretion so as to minimize disruption to ordinary business operations. Not only does the firm assist our clients in getting to the bottom of thorny issues in today’s complex, post-Sarbanes-Oxley environment, Dickstein Shapiro also advises clients on corporate governance issues and establishing compliance programs to ensure best practices and minimize future risks.

  • Conducting an internal investigation on behalf of a Special Committee of the Board of Directors of a Fortune 100 multinational telecommunications corporation facing issues involving stock option backdating and earnings manipulation. In addition to conducting hundreds of interviews around the world and completing a thorough written report to the board of directors, Dickstein Shapiro assisted the client in designing an effective corporate government and compliance strategy aimed at getting the client past its pending issues;
  • Conducting an internal inquiry on behalf of the Audit Committee of a U.S. Company with substantial foreign operations concerning compliance with the Foreign Corrupt Practices Act;
  • Routinely performing internal inquiries on behalf of a Fortune 50 multinational manufacturing company on issues that have recently included an inquiry regarding new product development;
  • Conducting an internal investigation on behalf of one of the world’s largest money-management firms into allegations of mismanagement of an off-shore fund;
  • Performing an internal investigation on behalf of a political media consulting company into an employee embezzlement scheme; efforts resulted in restitution, complete payment of insurance policy limits, and the parallel criminal conviction of embezzler for fraud;
  • Performing an internal investigation for aviation parts supplier in connection with product liability exposure issues; efforts resulted in creation of enhanced quality assurance compliance program and continued marketing of product; and
  • Representation of NYSE-traded company that was under investigation by various regulators including the Department of Justice, the SEC, the New York Attorney General, and the New York State Department of Insurance.
