Biography

Jim Kelly is Chairman of Dickstein Shapiro. He guides the leadership and strategic direction of the firm’s legal practice and business objectives, and oversees all aspects of the firm’s operations. He is instrumental in the firm’s dedication to providing superior client service, and leads the advancement of the firm’s business model, strategic investments, and growth through a strong commitment to the firm’s core values of excellence, loyalty, respect, initiative, and integrity.

BACKGROUND

Prior to becoming Chairman, Jim served as the leader of the firm’s national Corporate & Finance Practice and spent more than 20 years as a business attorney focusing on structuring and negotiating complex real estate, finance, and general corporate transactions.

PROFESSIONAL ACTIVITIES

Jim is a member of the American Bar Association’s Business Law and Real Property, Probate and Trust Law Sections, and the District of Columbia Bar Association’s Real Property Section.

Jim participated in the Zeughauser Group (Law Firm Leadership Roundtable; November 2013), Harvard Law School Executive Education Program (Leadership in Law Firms; October 2009), and the Hildebrandt Institute Program (Large Law Firm Managing Partner Roundtable; April 2009).

He received an Outstanding Achievement Award from the District of Columbia Bar Association in June 2009 for his work in connection with the relocation of the Bar’s headquarters.

OUTSIDE THE FIRM

Jim served from 2005 to 2011 as a member of the Advisory Committee for the Community Economic Development Project of the District of Columbia Bar’s Pro Bono Program. He is a regular faculty presenter to pro bono attorneys serving the needs of small businesses in the District of Columbia and helped develop the pro bono attorney training manual for small business clinics.

  • Representation of a private equity fund in connection with subordinated debt to finance in part the buy-out of a data protection, data hosting, and disaster recovery concern.

  • Representation of a private equity firm in connection with the recapitalization of a custom injection molding company.

  • Representation of special purpose entity borrowers in connection with 13 pooled mortgage financing transactions yielding more than $200 million of loan proceeds.

  • Representation of a family of public and private corporate borrowers in connection with the extension and administration of $275 million of revolving credit facilities.

  • Representation of the national lender coordinator of a federal loan guarantee program in connection with the guarantee of a construction loan funding in part the construction of a community health care facility located in Massachusetts, utilizing conventional financing, state and federal grants, and New Markets Tax Credits.

  • Representation of the national lender coordinator of a federal loan guarantee program in connection with the guarantee of a construction loan funding in part the construction of a community healthcare facility located in Indiana, utilizing conventional financing and state and federal grants.

  • Representation of a CDFI as a borrower in connection with four loans with an approximate principal balance of $27 million used to fund various low and middle income and tax credit loan transactions and programs.

  • Representation of a nonprofit borrower in connection with a $45 million working capital loan facility.

  • Representation of a $38 billion credit union in connection with the extension of U.S. government-backed small business loans.

  • Representation of the national lender coordinator of a federal loan guarantee program serving the healthcare construction and service delivery sectors, in connection with program eligibility, preparation and negotiation of loan and guarantee documents, and program administration and enforcement matters.
