  • Representation of various privately held biotechnology companies in connection with research collaboration and product development agreements;
  • Representation of Pharmaceutical Resources in its joint venture with Clal Resources, an Israeli public company, for the development, sale, and marketing of generic pharmaceutical products;
  • Representation of SmithKline Beecham in an equity investment and related license and other agreements; and
  • Representation of Celera Genomics Group in a divestiture of assets and related equity investment and license.

Intellectual Property

The Corporate & Finance Group in conjunction with the Intellectual Property Group has extensive experience in the acquisition, transfer, and licensing of intellectual property rights pertaining to biotechnology, pharmaceutical, and other natural sciences, as well as product development and research arrangements. The firm assists clients in obtaining U.S. and foreign patent protection through sophisticated patent prosecution and licensing strategies designed to maximize the value of patent portfolios. The firm is regularly called on to provide formal patent opinions with regard to infringement, validity, and enforceability of patents in the areas of biotechnology, pharmaceuticals, and medical devices. In addition, our attorneys regularly conduct intellectual property due diligence in connection with mergers and acquisitions. Firm attorneys advise clients regarding a broad range of natural science-related technologies including vaccines, human and veterinary pharmaceutical products and treatment regimes, diagnostics, transgenic plants, gene therapies, automated nucleotide sequencers, specialty chemicals, polymers, and environment remediation.

  • Representation of Alpharma Animal Health Division Inc. in connection with development of veterinary pharmaceutical products and acquisition and licensing of intellectual property rights;
  • Representation of Johns Hopkins University, Iowa State University Research Foundation, Inc., and The Pennsylvania State University in connection with acquisition of patent rights;
  • Representation of Hitachi Ltd. in connection with intellectual property licensing and patent opinions relating to the development of chemical and biochemical products and processes;
  • Representation of Allied Colloids Ltd. in connection with patent litigation relating to polymers in which the case settled with Allied Colloids paying no damages;
  • Representation of Ballard Medical Products, Inc. in connection with patent litigation relating to medical products resulting in a seven figure settlement and forward royalties in excess of 20%; and
  • Representation of Entact Inc. in connection with patent litigation relating to environmental processes in which Entact Inc. obtained summary judgment confirming its noninfringement.
