Joint Ventures

Attorneys in Dickstein Shapiro’s Corporate & Finance Group represent clients in joint ventures, including in the areas of publishing and other media, bio/medical and other technologies, and infrastructure and energy projects. The structures of such ventures include limited partnerships, corporations, and limited liability companies, as well as licensing, product development, and joint sales and marketing arrangements.

Representative engagements include:

  • Representation of the developer of the TermoEmcali project, a 234 MW electric generating facility near Cali, Colombia, which was structured as a public/private partnership for the ownership of the project involving Colombian, U.S., and off-shore private investors;
  • Representation of a large institutional investor in its acquisition of a membership interest in Airport Group International Holdings, L.L.C., a joint venture among Lockheed, Soros Capital, Bechtel, Duty Free Shoppers, and other institutional investors for the privatization and development of airport facilities worldwide;
  • Representation of the affiliate of a large U.S. public utility in the structuring and negotiation of a joint venture with an independent power company for the development, construction, and financing of several 1,000 MW merchant power plants in the United States;
  • Representation of Trident Global Water Partners, LLC, a joint venture among John Hancock Life Insurance Company, New York Life Insurance Company, and Poseidon Water LLC for the ownership and financing of international water supply and wastewater treatment projects;
  • Representation of various privately held biotechnology companies in connection with research collaboration and product development agreements;
  • Representation of Pharmaceutical Resources in its joint venture with Clal Resources, an Israeli public company, for the development, sale, and maketing of generic pharmaceutical products;
  • Representation of a subsidiary of Christie’s International with respect to the establishment of an international wholesale and retail jewelry joint venture with the U.S.-based owner of a successful international wholesale jewelry business; and
  • Representation of a consortium of gas distribution companies, U.S. and Canadian pipeline companies, and other private investors in the formation and subsequent restructurings of a joint venture for the development, construction, and expansion of the 358-mile Iroquois Gas Transmission System pipeline project located in New York State.
