Executive Compensation

The Corporate & Finance Group represents both executives and their employers in structuring and negotiating executive compensation arrangements including employment agreements, option agreements and plans, deferred compensation and bonus plans, separation agreements, and change of control agreements. The firm advises its clients on the legal, tax, accounting, and securities laws issues involved in such arrangements. The firm’s clients in this area include chief executives and other high-level officers at both public and private companies, investment bankers, hedge fund operators, and their employers.

Representative engagements include:

  • Representation of the Chief Executive Officers of a NASDAQ-listed software company, a private restaurant guide company, a private media company, and a private health care company in negotiating their compensation and equity arrangements;
  • Representation of the Chairman, Chief Executive Officer, Chief Financial Officer, and other executive officers of a financial reinsurance company, in drafting and negotiating their compensation and equity arrangements;
  • Representation of high-level investment bankers in connection with their employment and/or separation arrangements with institutions such as Credit Suisse First Boston, Deutsche Bank-Bankers Trust, Bear Stearns, UBS Warburg, and Lehman Brothers;
  • Representation of investment managers in negotiating compensation and LLC equity arrangements with major investment funds.
